1. Acceptance of These Terms
These Terms of Use (“Terms”) are a binding agreement between you and Local AI, Inc., a Delaware corporation (“Reelbee,” “we,” “us,” or “our”) and govern your access to and use of the Reelbee mobile applications, websites, and related services (collectively, the “Services”). By downloading, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services, and at least 18 years old, or the age of majority where you live, to purchase a subscription. If you are a minor, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to these Terms.
3. Accounts
Some features require you to sign in (for example, with Sign in with Apple or an email address). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You may browse and watch free content without an account.
4. Subscriptions & Billing
- Auto-renewable subscription. Reelbee offers an All-Pass membership (the “Weekly Pass”) that unlocks premium episodes. New subscribers may be offered an introductory price for an initial period, after which the standard price applies.
- Payment. Payment is charged to your Apple Account at confirmation of purchase.
- Auto-renewal. Your subscription renews automatically at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours prior to the end of the current period.
- Managing & cancelling. You can manage or cancel your subscription at any time in your Apple Account settings. Cancellation takes effect at the end of the current billing period.
- No partial refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial subscription periods or unused content.
- Price changes. Prices are subject to change. Where required, we will give you notice and the opportunity to cancel before a price change takes effect.
Purchases are processed by Apple and are also subject to Apple’s applicable terms.
5. License to Use Reelbee
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services for your own non-commercial entertainment. We reserve all rights not expressly granted.
6. Acceptable Use
You agree not to:
- copy, record, download, distribute, publicly perform, or create derivative works from any content except as expressly permitted;
- circumvent, disable, or interfere with security, digital rights management, or access controls;
- reverse engineer, decompile, or attempt to extract source code, except where permitted by law;
- use the Services to violate any law or the rights of others, or to transmit malicious code; or
- access the Services through automated means or scrape, harvest, or resell any part of the Services.
7. Content & Intellectual Property
The Services and all content made available through them — including dramas, video, text, graphics, logos, and software — are owned by Reelbee or its licensors and are protected by intellectual property laws. The “Reelbee” name and logos are our trademarks. Content is licensed, not sold, to you, and is provided for personal viewing within the Services only.
8. Third-Party Services
The Services rely on third parties, including Apple for distribution, sign-in, and subscription billing. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services we do not control.
9. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that content will always be available.
10. Limitation of Liability
To the maximum extent permitted by law, Reelbee and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the 12 months before the claim or US $50.
11. Indemnification
You agree to indemnify and hold harmless Reelbee and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, except where applicable law provides otherwise.
14. Apple App Store & Devices
When you obtain the Reelbee app through Apple’s App Store, the following also applies:
- These Terms are between you and Reelbee only, not with Apple, and Apple is not responsible for the app or its content.
- Your license to use the app is limited to use on Apple-branded products that you own or control and as permitted by the App Store Terms of Service.
- Apple has no obligation to furnish any maintenance or support for the app; support questions should be directed to us using the contact details below.
- If the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims relating to the app, including product-liability, regulatory, or intellectual-property claims.
- You represent that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government restricted-parties list.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
15. General
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Services and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
- Electronic communications. You consent to receive communications from us electronically, and agree that electronic agreements and notices meet any legal requirement that such communications be in writing.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, where appropriate, notify you in the app. Your continued use of the Services after a change takes effect means you accept the revised Terms.
